Setup a Company & Start a Business in Malaysia
Registering a company gives you the corporate vehicle. Building the business means taking the next steps — banking, tax, premises, licences, staffing and operational readiness.
This guide connects those stages into one practical Malaysia business setup roadmap for entrepreneurs and international founders.
Company Registration and Business Setup Are Not the Same Thing
One of the most important distinctions for a new entrepreneur is the difference between incorporating a company and actually preparing that company to operate.
SSM incorporation creates the corporate entity. The next stage is building the practical infrastructure the business needs for its particular activity.
A complete setup may extend into corporate banking, tax administration, business premises, licensing, employees, accounting and other operational requirements.
The Three Layers of Starting a Malaysian Business
Corporate Setup
Company name, shareholders, directors, incorporation, company secretary and registered office.
Financial Setup
Tax administration, accounting foundation, corporate banking and financial controls.
Operational Setup
Premises, licences, employees, suppliers, commercial documentation and launch preparation.
Register the Malaysian Company
For entrepreneurs using a private company structure, the first stage is establishing the Sdn. Bhd. through the Malaysian corporate-registration process.
- Select the proposed company name
- Determine shareholders and ownership
- Determine the directors
- Define the business activities
- Establish the registered-office information
- Prepare the incorporation particulars
- Submit the incorporation application
- Complete the company’s corporate foundation
From Company Registration to Business Launch
Define what the company will do, its customers, ownership, funding and Malaysia operating model.
Plan shareholders, directors, business activities and initial capital.
Establish the Malaysian corporate entity through the applicable incorporation process.
Organise the company secretary, registered office and statutory company documentation.
Prepare the company’s tax and accounting administration for its future operations.
Prepare the company and founders for the bank’s business and KYC review.
Arrange the appropriate office, shop, warehouse or other operating premises and identify applicable licences.
Prepare recruitment, payroll, suppliers, customers and day-to-day operating systems.
Begin trading with the corporate, financial and operational foundation properly organised.
Continue accounting, tax, company-secretarial and corporate administration as the business develops.
What Does the Sdn. Bhd. Need?
Current SSM incorporation guidance provides for one or more members, one or more shares for a company limited by shares and one or more directors. For a private company, at least one director must ordinarily reside in Malaysia by having a principal place of residence in Malaysia.
Shareholder
Establish who owns the company and the agreed ownership percentages.
Director
Establish the board while satisfying the applicable resident-director requirement.
Company Secretary
The company secretary must be appointed within the applicable post-incorporation period.
Prepare the Corporate Bank Account
A registered company and an approved corporate bank account are two different stages.
Banking preparation should be aligned with the actual business rather than treated as a simple administrative add-on to incorporation.
- Company incorporation documents
- Shareholder and director information
- Business activity and business model
- Source-of-funds information
- Expected transaction profile
- Customers and suppliers where relevant
- Operating address where relevant
- Supporting commercial information requested by the bank
Choose the Right Business Premises
The appropriate premises depend on the company’s actual operations. A consulting or technology company has very different requirements from a restaurant, retail outlet, warehouse or manufacturing business.
Service Business
Suitable for advisory, technology, professional and administrative operations.
Shop & Retail
Physical customer-facing businesses require premises suitable for their activity.
Warehouse & Factory
Trading, logistics and manufacturing businesses may require larger operational facilities.
Identify the Licences Required for Your Actual Business
There is no single business licence that applies identically to every Malaysian company.
The required approvals depend on the company’s activity, sector, premises and operating model. This is why the licensing assessment should follow the actual business plan.
Your company structure, business activities, premises and licensing direction should support the business you genuinely intend to operate.
Accounting, Tax & Corporate Records
Once the business starts operating, financial administration becomes part of the company’s ongoing infrastructure.
Business Records
Maintain organised financial and transaction records as the company operates.
Tax Administration
Maintain the company’s tax position and applicable filing requirements.
Statutory Maintenance
Keep company-secretarial and statutory corporate records properly maintained.
Setting Up a Malaysian Business as a Foreigner
Foreign founders should plan the business around more than share ownership. Director residency, capital, banking, business activity, licensing and immigration objectives can all affect the practical setup.
Where the company intends to sponsor expatriate positions, the ESD requirements should be considered during the setup rather than after everything else has been completed.
