What Is a Sdn. Bhd. Company?
A Sendirian Berhad, commonly written as Sdn. Bhd., is a Malaysian private company limited by shares. It is one of the principal corporate structures used by entrepreneurs and investors establishing businesses in Malaysia.
The company has its own corporate identity and can conduct business, enter commercial arrangements, employ staff and establish its operating infrastructure in Malaysia.
SSM confirms that a foreigner may form a Malaysian company as the sole shareholder. Director-residency requirements must, however, be considered when structuring the company.

Can a Foreigner Register a Company in Malaysia?
Yes. Foreign individuals can participate as shareholders in Malaysian companies, and Malaysia is widely used by international entrepreneurs establishing businesses for Malaysian and regional operations.
A foreign founder should distinguish between share ownership and the resident-director requirement. A foreigner can be the sole shareholder, while a private company must have at least one director who ordinarily resides in Malaysia by having a principal place of residence in Malaysia.
The shareholder owns the equity. The director manages the company. The structure should therefore be planned around both ownership and management requirements.
Company Secretary & Registered Office
Incorporation is the beginning of the company’s corporate lifecycle rather than the end of the process.
SSM states that the company secretary must be appointed within 30 days after incorporation. The company also maintains its registered office and ongoing statutory administration.
Tax Identification Number (TIN)
The company’s tax identity forms part of its post-incorporation foundation. A Malaysian company should organise its tax records and relevant LHDN administration as it prepares to operate.
This becomes important for tax filings, accounting, invoicing and the company’s wider financial administration.
Company Registration and Bank Account Are Separate Stages
Registering the Sdn. Bhd. does not by itself complete the corporate bank-account process.
Banking preparation may involve review of the company’s ownership, directors, business activities, source of funds, expected transactions, customers, suppliers and supporting commercial information.

What Is the SSM Incorporation Fee?
SSM currently lists the incorporation fee for a company limited by shares at RM1,000. A separate company-name reservation route is also available, with the applicable SSM name-reservation fee.
Government incorporation fees should be distinguished from professional company-formation, company-secretarial, registered-office, tax, banking, licensing and other business-setup services.
