Register a Company in Malaysia from Syria – 2026 Guide

SYRIA → MALAYSIA • FOREIGN FOUNDER GUIDE • 2026

Register a Company in Malaysia from Syria 2026 Business Setup & Expansion Guide

Syrian entrepreneurs can establish and own Malaysian companies, but successful market entry requires more than incorporation. The company should be structured from the beginning for compliance, banking readiness, genuine commercial activity and long-term operations.

This 2026 guide explains the practical pathway for Syrian founders considering Malaysia for trading, technology, consulting, services, food businesses and other permitted commercial activities.

SYRIA → MALAYSIA 2026

The Objective Is Not Just Registration. It Is a Business That Can Actually Operate.

A Malaysian incorporation certificate establishes the legal company, but it does not automatically provide a bank account, business licence or permission for a foreign shareholder to work in Malaysia.

For this reason, Syrian founders should plan the company around the real commercial objective: ownership, business activity, director structure, banking, tax, licensing and expatriate requirements.

OWNERSHIP Foreign-Owned Possible subject to sector rules
STRUCTURE Sdn. Bhd. Common private-company vehicle
DIRECTOR Resident Required At least one qualifying resident director
STRATEGY Banking-Aware Prepare KYC before applying
Corporate Ownership

Can a Syrian Citizen Own a Malaysian Company?

A foreigner can establish a Malaysian company and can be its shareholder. For many ordinary business activities, a foreign-owned Sdn. Bhd. can therefore be considered without introducing a Malaysian shareholder merely for incorporation purposes.

SHAREHOLDER Syrian Founder

Foreign individual ownership.

OPERATIONS Malaysia / ASEAN

Commercial operations and expansion.

Foreign ownership and sector approval are different questions.

Certain regulated activities can have additional equity, licensing, capital or approval requirements. The actual business activity should therefore be assessed before incorporation.

Company Requirements

Core Requirements for a Malaysian Sdn. Bhd.

01 Shareholder Individual or corporate shareholder information.
02 Resident Director At least one director ordinarily residing in Malaysia.
03 Company Name Proposed name for SSM approval.
04 Business Activity Correct description and MSIC classification.
05 Company Secretary Qualified Malaysian company secretary.
06 Registered Office Malaysian statutory registered address.
07 KYC Documents Identity, address and beneficial-ownership information.
08 Capital Structure Planned according to the actual business requirements.
Remote Incorporation

Can You Start the Malaysia Company Process from Syria or Overseas?

Much of the company onboarding and incorporation preparation can generally be coordinated remotely, subject to satisfactory KYC, identity verification and supporting documentation.

OVERSEAS KYC & Business Information
NEXT STAGE Banking • Licensing • Operations
Remote company registration does not mean every subsequent process is remote.

A bank, regulator or other institution may require additional verification, documents or physical attendance depending on its requirements and the applicant’s circumstances.

Critical Planning Area

Corporate Banking & Enhanced KYC Readiness

Corporate banking should be treated as a separate workstream from company incorporation. A Malaysian company can apply to a bank, but the bank independently decides whether to accept the relationship.

Foreign founders should be prepared to explain clearly who owns the company, where the investment funds originate, what the company will do and how money is expected to move through the account.

Identity Directors and shareholders
Beneficial Ownership Ultimate controlling persons
Source of Funds Origin of investment capital
Source of Wealth Commercial and financial background
Business Model How revenue will be generated
Customers Expected buyers and markets
Suppliers Commercial counterparties
Transaction Flow Countries, currencies and expected activity
Important banking principle

Company registration does not guarantee bank-account approval. Applications can be subject to enhanced due diligence depending on the applicant, counterparties, countries involved, business model and the bank’s internal risk policies.

Capital Planning

How Much Paid-Up Capital Is Required?

Avoid choosing a capital figure simply because it is technically possible to incorporate a company with a small share-capital amount. Legal incorporation and operational suitability are different matters.

The appropriate capital structure should instead be assessed against the company’s actual activity and future requirements.

01 Business Activity

What the Malaysian company will actually do.

02 Licensing

Whether the sector has regulatory capital requirements.

03 Operations

Working capital required for a credible operation.

04 Expatriate Strategy

Relevant agency and Employment Pass requirements.

Simple principle:

Structure the capital for the business you intend to operate, not merely for the cheapest possible incorporation.

Expatriate Planning • 2026

Does Owning a Malaysian Company Give a Syrian Founder a Business Visa?

No. Company ownership and permission to work in Malaysia are separate matters. A shareholder does not automatically receive an Employment Pass because they own the Malaysian company.

Where the company, proposed position and applicant qualify, the relevant expatriate pathway can be assessed. For companies using the ESD framework, Malaysia’s revised Employment Pass salary policy took effect on 1 June 2026.

EP CATEGORY I RM20,000+ Monthly salary threshold
EP CATEGORY II RM10,000 – RM19,999 Monthly salary threshold
EP CATEGORY III RM5,000 – RM9,999 Monthly salary threshold
Salary alone does not create eligibility.

Company eligibility, the expatriate position, relevant approving authority, supporting documents and other applicable requirements must still be satisfied.

Commercial Planning

Business Activities Syrian Entrepreneurs Can Consider in Malaysia

The right activity depends on the founder’s existing expertise, capital, customer base and Malaysia strategy. A commercially genuine business should come before any immigration objective.

Import & Export

International trading and distribution subject to the applicable product and licensing rules.

IT & Software

Software development, SaaS, digital services and technology operations.

E-Commerce

Online commerce and digital business models subject to applicable rules.

Food Business

Restaurants, food trading and related concepts subject to licensing and product requirements.

Consulting

Business and commercial consulting where the proposed activity is permitted.

Wholesale

Product sourcing and distribution subject to applicable trade requirements.

Technology Services

Frequently Asked Questions

Malaysia Company Registration FAQ for Syrian Entrepreneurs

Can a Syrian citizen register a Malaysian company?

A foreign individual can establish and own a Malaysian company, subject to the applicable corporate and sector requirements.

Can the company be foreign-owned?

Foreign ownership is possible across many activities. Specific business sectors can have additional licensing or equity requirements.

Must I have a Malaysian shareholder?

There is no general requirement to introduce a Malaysian shareholder simply to incorporate an ordinary Sdn. Bhd. Sector-specific rules should nevertheless be reviewed.

Do I need a Malaysian resident director?

A private company requires at least one director who ordinarily resides in Malaysia by having a principal place of residence in Malaysia.

Can I start the incorporation process remotely?

Much of the corporate onboarding and incorporation preparation can generally be coordinated remotely, subject to satisfactory KYC and documentation.

Can a Syrian-owned Malaysian company apply for a bank account?

The Malaysian company can apply for corporate banking. Approval, additional due diligence and documentary requirements are determined independently by the bank.

Is the bank account guaranteed after company registration?

No. Incorporation and corporate banking are separate processes, and no responsible adviser should guarantee a bank’s approval.

Does company ownership automatically give me a Malaysia visa?

No. Ownership of shares does not itself grant permission to work or reside in Malaysia.

What are Malaysia’s Employment Pass salary thresholds in 2026?

From 1 June 2026, the revised thresholds are RM20,000 and above for Category I, RM10,000–RM19,999 for Category II, and RM5,000–RM9,999 for Category III, subject to all other requirements.

Should I incorporate first and decide the business later?

That is generally poor planning for a foreign-owned company. Business activity, licensing, banking, capital and operational requirements should be assessed before finalising the structure.
